KADI MARKET VENDOR SERVICE AGREEMENT

This Vendor Service Agreement (“Agreement”) is entered into between Kadi Market (“The Company/Platform”) and the Vendor (“Seller/You”). By registering as a seller on kadimarket.com, you agree to be bound by these terms.


1. SCOPE OF SERVICES

Kadi Market provides an online marketplace to facilitate the sale of goods between Vendors and Customers in Nigeria and Cameroon. The Company provides the platform, payment processing (Kadi Secure-Pay), and cross-border logistics support.

2. VENDOR REPRESENTATIONS & WARRANTIES

The Vendor represents and warrants that:

  • They are a legally registered business (CAC in Nigeria / RCCM in Cameroon) or a verified individual.

  • They own all rights to the products listed and that the products are authentic, not counterfeit, and comply with all local safety standards.

  • Product descriptions, prices, and stock levels are accurate and updated in real-time.

3. PAYMENTS & CURRENCY (KADI SECURE-PAY)

  • Escrow System: All customer payments are held in the Kadi Market Escrow Account. Funds are only eligible for payout after the customer confirms receipt or the 7-day “Dispute Window” expires.

  • Currency Conversion: Vendors will be paid in their local currency (Naira for Nigeria; CFA Francs for Cameroon). Kadi Market handles the exchange at the daily platform rate at the time of transaction.

  • Fees: Kadi Market will deduct a [X%] commission plus a fixed transaction fee from each successful sale before payout.

4. LOGISTICS & CROSS-BORDER SHIPPING

  • Order Fulfillment: Vendors must pack and dispatch orders to the designated Kadi Local Hub within 48 hours of order confirmation.

  • Packaging: Vendors are responsible for secure packaging. Kadi Market is not liable for damages caused by substandard packaging.

  • Customs & Duties: For cross-border sales, Kadi Market handles customs documentation. Any applicable duties are charged to the Customer at checkout, unless otherwise specified.

5. RETURNS & REFUNDS

  • Defective Products: If a product is defective or “Not as Described,” the Vendor is responsible for the full refund and the cost of return shipping.

  • Change of Mind: (Optional Policy) Kadi Market follows a 7-day return policy. If a return is accepted, the Vendor’s account will be debited accordingly.

6. INTELLECTUAL PROPERTY

The Vendor grants Kadi Market a non-exclusive license to use the Vendor’s trademarks, logos, and product images for marketing and promotion on the platform and social media.

7. PROHIBITED ITEMS

Vendors shall not list:

  • Counterfeit or “knock-off” goods.

  • Illegal substances or regulated medications without proper licensing.

  • Explosives, weapons, or hazardous materials.

  • Any item prohibited by the laws of the Republic of Nigeria or the Republic of Cameroon.

8. TERMINATION

  • By Vendor: You may close your shop at any time with 30 days’ notice, provided all pending orders are fulfilled.

  • By Kadi Market: We reserve the right to suspend or terminate accounts for fraud, high return rates, or breach of this agreement.

9. LIMITATION OF LIABILITY

Kadi Market is a facilitator. We are not liable for the quality of the Vendor’s goods, nor for indirect losses or lost profits resulting from platform downtime or logistics delays.

10. GOVERNING LAW & DISPUTE RESOLUTION

This agreement is governed by the laws of [Nigeria/Cameroon – choose your primary HQ]. Any disputes that cannot be settled amicably shall be referred to arbitration in [Lagos/Douala].
